When I started my career I had little idea how users engaged with websites, how the words on the page affected their experience or what compelled them to take action. In other words, I built pretty sites, but had little knowledge how to build ones that actually worked to drive business.

Agreement
This project agreement is effective on the date of signing this agreement and is between Josh Brodleit (Revision Road LLC) ("AGENCY" or "us" and "we") and Rivera Consulting Group ("CLIENT" or "you" and "your") collectively known as the "PARTIES." This project agreement and all the contents in this proposal doubles as an executable agreement that is intended as a legally binding agreement between AGENCY and CLIENT.
The keywords "MUST", "MUST NOT", "REQUIRED", "SHALL", "SHALL NOT", "SHOULD", "SHOULD NOT", "RECOMMENDED", "MAY", and "OPTIONAL" in this document are to be interpreted as described in IETF RFC 2119 (https://www.ietf.org/rfc/rfc2119.txt).
You have engaged with us to facilitate and guide the design of your website at riveraconsulting.example (the "site" or "website" or "app" or "application" or "website property"), and to complete the front-end development (e.g., crafting of HTML, CSS, and JavaScript elements) of the site to be built using Astro, which may be a content management system, static site generator, page builder, or other website technology as described elsewhere in this proposal.
Below is the typical project phases and breakdown of timelines. This may vary depending on the scope and details of CLIENT's project requirements.

AGENCY's services and Deliverables only include the items listed above, and do NOT include the following:
In addition to CLIENT's obligations described in this agreement and proposal, AGENCY's obligations under the agreement are subject to the following:
Half of the setup fee is due on signing this agreement. The remaining half is due 30 days after signing or on site launch, whichever comes first. Client shall pay invoiced fees and approved expenses within 30 days of receipt.
Our goal is to ensure that the SOW is reflective of all the information we know and understand about this project. Should Client request additional work or changes not explicitly specified in the Deliverables and Included Work sections outlined in this SOW, AGENCY will clearly notify and communicate this with you and provide a new project proposal and SOW for your approval for the additional work.
This fee does not include any expenses or other costs that may be required to complete your project. Examples of expenses include licensing fees, stock or original photography, font or media licensing, online services, and similar costs. AGENCY will obtain your consent before incurring costs on your behalf.
We understand that sometimes life happens and you may need to pause work on your project. That is completely acceptable if we are notified and made aware of your situation in advance. If CLIENT project goes more than 30 days without any forward progress or significant activity from CLIENT end, and no prior arrangements have been made with us and agreed to, CLIENT project will be put on hold and all associated files will be archived. Once your project has been archived, a $500.00 re-activation fee is required to restart your project and your project will be scheduled into our current workflow where space is available.
If CLIENT project remains inactive for an additional 15 days past the 30 day dormancy period (45 days total) with no significant forward progress made, milestones reached, or prior arrangement in place, our engagement will expire, no refunds will be available, and CLIENT will forfeit all deliverables associated in this contract.
Once the project work has been completed, CLIENT has up to 90 days to work with AGENCY to approve the final project. After 90 days, this contract will expire. At this time, CLIENT can renew its contract for the flat fee of $500.00 to finish the project or choose to receive any project deliverables that have been completed to that point.
While we take all steps and follow the latest best practices in SEO (and SEO retention in website redesigns), there is not a science or formula to guarantee the same search rankings following a website redesign. In the event your website has significant page authority and ranks considerably well in organic search, we'll work with you to build a strategy and plan to retain those search rankings as best we can. Nonetheless, AGENCY is not liable or responsible for changes in search rankings after the launch of CLIENT website or application.
The website included in this agreement is built on a platform owned and managed by the AGENCY. While the underlying platform and its associated technology remain the property of the AGENCY, the CLIENT retains full ownership and access to all content, data, and assets associated with their website. This includes text, images, videos, downloadable files, and other materials created or uploaded as part of the website.
Should the CLIENT choose to transition to another platform or service provider in the future, the AGENCY will provide the necessary content and data for migration, ensuring a smooth transfer of the CLIENT'S assets while maintaining the integrity of the platform's proprietary elements.
Billed monthly option: The monthly fee for the hosting plan will be billed in equal monthly installments. The first installment is due on the website launch date with each additional installment due each month thereafter. Invoices are due 30 days of receipt.
Billed yearly option: The total fee for the hosting plan will be billed in yearly installments at a 10% discounted rate. The first installment is due on the website launch date with each additional installment due each year thereafter. Invoices are due 30 days of receipt.
